Terms of Service
Our terms are built on fairness and clarity: 100% client code ownership, open standards with zero vendor lock-in, and milestone-based Statements of Work.
01 Master Engagement & SOW Structure
All engineering and consulting engagements with Coronado Agency are governed by mutually agreed Statements of Work (SOW) generated through our proposal system or structured during architecture discovery.
- Scope of Work: Each SOW details specific deliverables, timelines, target cloud environments, and acceptance criteria.
- Sprint Cadence: Work is delivered in agile 2-week to 6-week sprints with transparent daily commits and weekly demonstration cutovers.
02 100% Client Code Ownership
You own everything we build. All infrastructure-as-code modules (Terraform, OpenTofu, Pulumi), container definitions, Kubernetes manifests, CI/CD pipelines, documentation, and application source code are transferred to you with full, unencumbered intellectual property ownership upon milestone completion.
We do not retain proprietary rights, licensing fees, or hidden dependencies. Your engineering team has complete autonomy to modify, fork, or host the code anywhere.
03 Zero Vendor Lock-In Philosophy
We adhere strictly to open-source and open-standard tooling. We actively avoid proprietary closed-source platforms that trap clients into recurring vendor tax.
- Standard Terraform & OpenTofu rather than proprietary closed orchestration engines.
- Upstream CNCF-compliant Kubernetes configurations operable across AWS, Azure, Google Cloud, or on-premises.
- Comprehensive runbooks and handover documentation enabling internal team autonomy.
04 Security, Access & Offboarding
To ensure zero security footprint after our engagement concludes:
- All access is granted via client-owned identity providers (Okta, Azure AD, Google Workspace) or temporary role assumption.
- Upon SOW acceptance, we conduct a verified access revocation checklist confirming all Coronado credentials, SSH keys, and tokens are decommissioned.
05 Warranties, Acceptance & Liability
We stand behind our code. Every delivered Statement of Work includes a 30-day post-cutover warranty period during which any defects or discrepancies against the agreed acceptance criteria are remediated at zero additional cost.
Except for gross negligence, willful misconduct, or breach of confidentiality, neither party shall be liable for indirect, incidental, or consequential damages. Total liability under any SOW is capped at the total fees paid under that specific SOW.
